西方薪酬委员会制度研究综述

摘要
随着薪酬委员会制度在美英等发达国家的普及,该制度已成为西方公司治理结构不可或缺的组成部分。目前,关于薪酬委员会制度有效性的问题,学术界存在观点分歧。理论上,虽然三层次代理理论和公平理论为薪酬委员会的设立提供了理论依据,但也有学者运用经理权力模型、竞标理论和锦标赛理论等对薪酬委员会制度的有效性提出了质疑。而以三层次代理理论、经理权力模型等理论为假设前提的实证研究则集中从薪酬委员会成员的任职资格决定因素、薪酬委员会设立和薪酬委员会构成对经理薪酬的影响,以及薪酬委员会成员报酬激励对经理薪酬的影响等方面对薪酬委员会的独立性和有效性进行验证,但结论也不完全一致。本文对西方相关理论和实证研究成果进行了述评。
