企业战略与公司治理互动视角下的MNE公司治理问题研究——兼论国际化背景下我国MNE的公司治理

摘要
跨国企业(MNE)是一种实施国际化战略并在不同东道国有效管理与控制商业组织的重要形式。MNE公司治理融合了企业战略(国际化)与公司治理的内容,是一个全新的研究领域。本文以代理理论、信息处理理论、相互依赖网络观及资源依赖理论为基础,对国际化程度、全球竞争程度、子公司战略角色及制度落差这四个影响MNE公司治理的关键变量进行了理论分析,然后以它们的逻辑关系为基础构建了MNE公司治理的框架模型,并根据该模型尤其针对我国MNE的公司治理问题进行了相应的分析,最后给出了企业战略与公司治理互动视角下MNE公司治理的研究结论与启示。
[1]本文作者在发表于《外国经济与管理》2008年第4期的《跨国企业公司治理研究回顾与展望》一文中对目前该领域的国外研究成果进行了详细的评介,并对国内外研究现状进行了对比分析,从而直接引发了本文的构思。本文的内容是对该文的延伸与拓展,少部分重复的内容已做了简化处理,感兴趣的读者可查阅本文参考文献[3]。
