国家间距离是跨国并购能否成功的重要影响因素,但现有研究结论尚存在较大分歧。针对这一现象,本文使用元分析的方法来检验并购双方所属国家间的距离(包括文化距离、制度距离、地理距离和经济距离)对跨国并购绩效(包括跨国并购宣告时市场反应、跨国并购完成与否和跨国并购长期绩效)的影响,并考虑了国家间距离的“方向性”和“时间性”。通过对44篇独立的实证文献进行元分析后,本文发现:(1)从整体效应来看,国家间距离对跨国并购绩效产生负向影响。(2)当并购方来自新兴市场时,国家间距离对跨国并购绩效的负向影响更为显著。(3)从时间上看,对2008年之前的跨国并购来说,国家间距离对跨国并购绩效的负向影响更加显著。基于元分析的结果,本文系统地分析了国家间距离对跨国并购绩效的影响,并且讨论了未来研究的方向。
