近年来国外越来越多的学者开始关注上市公司董事会中普遍存在的具有学术背景的学者董事,并探索了学者董事在董事会中发挥的职能以及对企业经济后果的影响。本文从董事会构成异质性与学者董事的关系,学者董事的监督控制、战略决策和资源提供职能,学者董事对企业经济后果的影响三个方面对现有研究进行梳理总结,并提出了一个分析学者董事的整合性研究框架,最后指出现有研究的主要特点和未来的研究方向,以期对学者董事的后续研究提供借鉴。
